Welcome to BOVEngine.ai. These Terms of Service ("Terms") govern your access to and use of the BOVEngine.ai website and services (the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, you may not use the Service. You must be at least 18 years old to use the Service.

2. Description of Service

BOVEngine.ai is a software-as-a-service platform that helps commercial real estate professionals create Broker Opinion of Value (BOV) reports. The Service includes AI-powered data extraction, comparable analysis tools, and report generation features.

3. Account Registration

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorized access to your account
• You are responsible for all activities that occur under your account

4. Subscription Plans and Payment

4.1 Plans

We offer the following subscription plans:

• Free Trial: 30-day trial with full access to features
• Starter ($49/month): 5 BOV projects per month, single user
• Professional ($99/month): Unlimited BOV projects, team collaboration, additional team members at $29/month each

4.2 Billing

• Subscriptions are billed monthly in advance
• Payment is processed securely through Stripe
• Prices are in US dollars and exclude applicable taxes
• You authorize us to charge your payment method on a recurring basis

4.3 Cancellation and Refunds

• You may cancel your subscription at any time through your account settings
• Cancellation takes effect at the end of the current billing period
• No refunds are provided for partial months or unused features
• We reserve the right to offer refunds on a case-by-case basis

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Upload content that infringes on intellectual property rights
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service or servers
• Use automated systems to access the Service without permission
• Share your account credentials with others
• Resell or redistribute the Service without authorization
• Upload malicious code or content

6. Your Content

6.1 Ownership

You retain ownership of all content you upload to the Service, including property data, images, and documents ("Your Content"). You grant us a limited license to use Your Content solely to provide the Service to you.

6.2 Generated Reports

BOV reports generated using the Service are owned by you. You are solely responsible for the accuracy and use of these reports. The Service is a tool to assist in creating reports, and you should verify all information before relying on it.

6.3 Responsibility

You are solely responsible for Your Content and ensuring you have the right to upload and use it. We do not endorse or verify the accuracy of any content uploaded to the Service.

7. Intellectual Property

The Service, including its design, features, and content (excluding Your Content), is owned by BOVEngine.ai and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our permission.

8. AI-Powered Features

The Service uses artificial intelligence to assist with data extraction and analysis. You acknowledge that:

• AI-generated content may contain errors and should be verified
• You are responsible for reviewing and validating all extracted data
• AI features are provided "as is" without guarantees of accuracy
• You should not rely solely on AI-generated content for professional decisions

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

BOVEngine.ai is a software tool and does not provide real estate appraisal, valuation, or professional advice. Reports generated using the Service are not appraisals and should not be used as such. You should consult with qualified professionals for formal valuations.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOVENGINE.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless BOVEngine.ai and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

12. Termination

We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms. Upon termination:

• Your right to use the Service will immediately cease
• You may request export of Your Content within 30 days
• We may delete Your Content after a reasonable period
• Provisions that should survive termination will remain in effect

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

14. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in San Joaquin County, California.

15. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and BOVEngine.ai regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any right or provision does not constitute a waiver.
• Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
